CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement (“Agreement”) is entered into on (DATE) between EBC (“Consulting Firm”) and the Receiving party (“X”) collectively referred to as the “Parties”
- Purpose: The Parties are entering into a partnership to deliver mental health services, and this Agreement is to ensure the confidentiality of sensitive information shared between them.
- Confidential Information: Both Parties agree to maintain the confidentiality of all sensitive information, including but not limited to: Client information | Business strategies | Financial information | Trade secrets | Proprietary information .
- Obligations:
– Both Parties agree to hold and maintain the Confidential Information in strict confidence
– Not disclose Confidential Information to any third party without prior written consent
– Use Confidential Information solely for the purpose of the partnership
- Term and Termination: This Agreement shall commence on the Effective Date and continue until terminated by either Party with written notice.
- Return of Confidential Information: Upon termination, both Parties shall return all Confidential Information to the disclosing Party.
- Remedies: Both Parties agree that any breach of this Agreement may cause irreparable harm, and the non-breaching Party may seek injunctive relief.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Uganda.
By signing below, the Parties acknowledge that they have read, understand, and agree to be bound by this Confidentiality Agreement.
